1. Introduction

Welcome to Soulzaa. These Terms & Conditions (“Terms”) govern your access to and use of the Soulzaa mobile application, website, and all related services, features, content, virtual items, and technologies (collectively, the “Platform”). By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Community Guidelines, Creator Policy, Refund & Cancellation Policy, Safety & Child Protection Policy, and any other policies published by Soulzaa. If you do not agree with these Terms, you must immediately discontinue using the Platform.

2. Eligibility

To use Soulzaa, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding agreement.
  • Provide accurate, complete, and current registration information.
  • Maintain the accuracy of your account information. Soulzaa reserves the right to suspend or permanently terminate accounts found to belong to individuals under the age of 18 or users who provide false information.

3. User Account

You are solely responsible for your account and all activities conducted through it. You agree to:

  • Keep your login credentials confidential.
  • Use a strong password and maintain account security.
  • Not share, transfer, or sell your account.
  • Notify Soulzaa immediately of any unauthorized access or security breach. Soulzaa is not responsible for losses resulting from your failure to maintain account security.

4. User Conduct

Users must use the Platform responsibly and respectfully. The following activities are strictly prohibited:

  • Harassment, bullying, stalking, or intimidation
  • Hate speech or discriminatory behaviour
  • Threats or incitement of violence
  • Sexual exploitation or explicit sexual content
  • Child Sexual Abuse Material (CSAM) or child exploitation
  • Terrorism or extremist content
  • Fraud, scams, phishing, or impersonation
  • Money laundering or financial crimes
  • Illegal gambling
  • Illegal sale of goods or services
  • Sale or promotion of drugs or weapons
  • Spam or unsolicited advertising
  • Fake engagement, fake gifts, or fake followers
  • Bot usage or automated activity
  • Hacking or unauthorized system access
  • Reverse engineering or decompiling the Platform
  • Distribution of malware or harmful software
  • Copyright or trademark infringement
  • Sharing another person’s private information without consent Violations may result in:
  • Content removal
  • Warning
  • Temporary suspension
  • Permanent account termination
  • Wallet restrictions
  • Forfeiture of Virtual Items where legally permitted
  • Reporting to law enforcement authorities

5. Live Streaming & Audio Rooms

Creators and hosts are solely responsible for all content broadcast through:

  • Live Streams
  • Audio Rooms
  • Voice Chats
  • Interactive Events Users may not:
  • Stream nudity or sexually explicit content
  • Promote illegal activities
  • Display graphic violence
  • Broadcast copyrighted content without authorization
  • Encourage dangerous or criminal behaviour
  • Mislead users or conduct fraudulent fundraising Soulzaa may remove any live session or restrict access without prior notice.

6. User-Generated Content

You retain ownership of the content you create and upload. By posting content on Soulzaa, you grant Soulzaa a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to:

  • Host
  • Store
  • Display
  • Reproduce
  • Process
  • Distribute
  • Promote
  • Recommend
  • Moderate your content solely for operating, securing, improving, marketing, and providing the Platform. You represent that:
  • You own the content or have all necessary rights and permissions.
  • Your content does not violate any law or third-party rights.

7. Virtual Items

Soulzaa may offer digital virtual items including:

  • Gold Coins
  • Soul Gems
  • Virtual Gifts
  • VIP Memberships
  • Digital Badges
  • Promotional Rewards
  • Event Rewards Virtual Items:
  • Have no real-world monetary value.
  • Are licensed, not sold.
  • Cannot be redeemed for cash except through officially supported Creator Settlement Programs.
  • Are non-transferable unless expressly permitted. Soulzaa may modify, discontinue, or replace Virtual Items at any time.

8. Purchases & Payments

Users acknowledge that:

  • Prices may change without prior notice.
  • Promotional offers may expire.
  • Payments are processed through authorized third-party providers.
  • Purchases are subject to the Refund & Cancellation Policy. Soulzaa reserves the right to investigate suspicious payment activity and suspend associated accounts.

9. Creator Earnings

Eligible Creators may receive earnings through Soul Gem conversions under the Creator Program. Settlement eligibility requires:

  • Successful identity verification (KYC)
  • Compliance with Platform policies
  • Accurate payment information
  • Fraud review
  • Meeting minimum payout requirements where applicable Soulzaa may delay, reject, or withhold settlements where fraudulent or suspicious activity is detected.

10. VIP Membership

VIP subscriptions provide enhanced Platform features. VIP benefits:

  • Are personal and non-transferable.
  • May vary by membership tier.
  • May change over time.
  • Renew automatically where applicable unless cancelled. Subscription billing and cancellations are governed by the applicable payment provider.

11. Intellectual Property

All software, source code, trademarks, logos, graphics, animations, interfaces, text, databases, designs, and Platform technology are owned by Soulzaa or its licensors. You may not:

  • Copy
  • Modify
  • Redistribute
  • Sell
  • Reverse engineer
  • Decompile
  • Create derivative works without prior written permission.

12. Privacy

Your use of the Platform is also governed by the Soulzaa Privacy Policy. By using Soulzaa, you consent to the collection, processing, storage, and sharing of your information as described in the Privacy Policy.

13. Reporting Abuse

Users may report:

  • Harassment
  • Fake accounts
  • Copyright infringement
  • Inappropriate content
  • Fraud
  • Spam
  • Child safety concerns
  • Illegal activity Soulzaa reviews reports and may take appropriate enforcement action.

14. Suspension & Termination

Soulzaa may suspend, restrict, or permanently terminate any account that:

  • Violates these Terms.
  • Violates Community Guidelines.
  • Engages in fraudulent activity.
  • Threatens Platform security.
  • Violates applicable law. Termination may occur without prior notice for serious violations.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Soulzaa is provided on an “AS IS” and “AS AVAILABLE” basis. Soulzaa shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits
  • Data loss
  • Business interruption
  • Loss of goodwill
  • Unauthorized account access caused by user negligence
  • Temporary service interruptions

16. Indemnification

You agree to indemnify and hold harmless Soulzaa, its affiliates, directors, officers, employees, licensors, and partners from any claims, losses, liabilities, damages, costs, or legal expenses arising from:

  • Your use of the Platform
  • Your uploaded content
  • Violation of these Terms
  • Violation of applicable laws
  • Violation of third-party rights

17. Service Availability

Soulzaa may at any time:

  • Add or remove features
  • Modify services
  • Suspend services
  • Perform maintenance
  • Restrict access
  • Discontinue parts of the Platform without prior notice.

18. Account Deletion

Users may permanently delete their account through the application settings. After deletion:

  • Personal information will be handled in accordance with the Privacy Policy.
  • Certain information may be retained for legal, tax, fraud prevention, security, and regulatory purposes.
  • Virtual Items, wallet balances, subscriptions, Creator benefits, rankings, and promotional rewards may be permanently forfeited and cannot be restored.

19. Changes to These Terms

Soulzaa reserves the right to modify these Terms at any time. When material changes are made, we may:

  • Update the “Last Updated” date.
  • Publish revised Terms on the Platform.
  • Notify users where required by applicable law. Continued use of the Platform constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts where Soulzaa operating entity is registered, unless otherwise required by applicable law.

21. Account Verification & KYC

Soulzaa may require identity verification (KYC) for Creators, payout recipients, or users accessing certain Platform features. Failure to complete verification may result in restricted access, delayed settlements, suspension, or account termination.

22. Payments, Taxes & Fees

Users and Creators are responsible for all applicable taxes, duties, levies, bank charges, and governmental fees associated with purchases, subscriptions, or Creator earnings. Soulzaa may deduct taxes or withholding amounts where required by applicable law.

23. Third-Party Services

The Platform may integrate with third-party services including payment gateways, cloud hosting providers, analytics providers, authentication providers, and live-streaming technologies. Your use of such services may also be governed by their respective terms and privacy policies. Soulzaa is not responsible for services operated independently by third parties.

24. Force Majeure

Soulzaa shall not be liable for any delay, interruption, or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, pandemics, war, terrorism, civil unrest, labour disputes, internet failures, cyber-attacks, power outages, governmental actions, or failures of third-party service providers.

25. Electronic Communications

By using the Platform, you consent to receive electronic communications from Soulzaa, including account notifications, security alerts, payment confirmations, policy updates, and service-related notices. Where permitted by law, Soulzaa may also send promotional communications, which you may opt out of at any time. Electronic communications satisfy any legal requirement that such communications be in writing.

26. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

27. Waiver

Failure by Soulzaa to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

28. Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, Creator Policy, Refund & Cancellation Policy, Safety & Child Protection Policy, and any additional policies published by Soulzaa, constitute the entire agreement between you and Soulzaa regarding your use of the Platform and supersede all prior agreements or understandings.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without Soulzaa prior written consent. Soulzaa may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.
